Women Influencing Nations; a registered charity

 

The Preamble

 

Mission statement

 

1a) We are the servants in the body of Christ committed to the teachings and leadership of Jesus Christ. We are dedicated to taking our places as warriors on the metaphorical wall of protection and servant-hood around the vulnerable and disadvantaged women and children of Africa who have been affected by HIV/AIDS pandemic by adopting them as part of our spiritual extended family and facilitating the provision for their tri part physical, spiritual and emotional needs.

 

1b) Our mandate is to facilitate (by the utilization/sowing of our talents, resources and influences, in the soil of unity with one another), the ability in each individual we serve to achieve full positive potential in their life by facilitating opportunities to enhance their physical, emotional and spiritual needs with emphasis on higher education which we believe to be the key to emancipation of the mind, and hence achievement of a territory expanded life path that sows back into the community from whence it came. 

 

 

AIM

 

2a) To facilitate youth directly and indirectly (through mothers and caregivers) to achieve their full potential in life to expand the borders of their God given potential establishing greater choice and opportunities for the betterment of their community, nation and eradication of HIV/AIDS pandemic risk factors.

 

 

Objectives

 

3a) To visit, research, document and recommend specific areas on the continent of Africa affected by the HIV/AIDS pandemic, home to vulnerable women and children in need of positive influence.

 

3b) To recruit tri-teams within Canadian Christian fellowships to act as financial sponsors, life mentors and prayer warriors targeted at the selected youth of specific areas for provision at physical, emotional and spiritual level wityh strong emphasis on higher education.

 

3c) To provide strong mentorship programs from tri-team sponsors to recipients but also inter tri-team and intra tri-team mentorship and peer support.

 

3d) To support mothers and caregivers in their challenge of raising an African nation in crisis with a view to overcoming cultural, political and sexist oppression.

 

3e) To promote and support recreational anti HIV/AIDS activities for the youth such as sports, dram and arts as a means of self-expression.

 

3f) To break down walls and enhance efficiency by collaboration/partnership with respected local Christian organisations, NGO’s and political bodies addressing physical, spiritual and emotional needs.

 

3g) To establish a strong payer for the community/nation base led by mother and youth within the area earmarked for transformation.

 

 

The Constitution

 

Name

 

4a) The name of the organisation shall be: Women Influencing Nations

 

Founder of the organisation

 

5a) It is recognized that Women Influencing Nations has been started by Dr. Christine Botchway who has been the visionary and driving force in creating this organisation to find ways to help the young people of Africa become leaders in their own land.

 

Registration

 

6a) Women Influencing Nations is registered as a Charitable Organisation under the Charitable Fund-raising Act of the Province of Alberta.

7a) The registered office shall be:

Nature and objects of the organisation

 

8a) To raise money in Canada to support children and youth in Africa who are affected by the HIV/AIDS pandemic. To help them obtain an education and to become productive members and leaders of their community. Also to provide water supplies and community development as resources permit.

 

 

 

Membership

 

9a) Membership is open to anyone who subscribes to the mission statement, aim and objectives of the organisation and upon payment of the annual membership fee.         

 

 

General meetings of the membership

 

10a) The Board of Directors shall call an Annual General Meeting of the membership in the first six months of each calendar year and may call a special general meeting of the membership when the Board considers it necessary by giving fourteen days notice of such meetings and agenda to all current members by mail or by e-mail to their last known address.

 

10b) Meetings of the membership will be chaired by the President or his/her designate who will have a vote.

 

10c) Resolutions will be carried by a majority vote.

 

11c) Quorum of general meetings of the membership shall be the lesser of five members or 10% of the membership.

 

Board of Directors

 

12a) The Board of Directors shall have a minimum five directors (President, Secretary and Treasurer and two directors at large) and a maximum of ten directors who will be elected at the Annual General Meeting to hold office until the next Annual General Meeting.

 

12b) The number of seats on the board will be decided by members voting at an annual general meeting.

 

12c) Interim vacancies on the Board are to be filled by the Board of Directors from current members who will hold office till the next Annual General Meeting.

 

12d) Quorum of the Board will be 50% of the number elected and appointed.

 

By-Laws

 

13a) The Board of Directors may adopt by-laws for the management and administration of the organisation and amend the same.

 

 

Fiscal Year

 

14a) The fiscal year of the organisation will end on December 31st of each year.

 

Amendments to the constitution

 

15a) This constitution may be amended by a majority vote at an Annual General Meeting or a Special General meeting provided fourteen days notice of the proposed change(s) has been given by the Board of Directors to all current members by mail or by e-mail to their last known address.

 

Wind up of the organisation.

 

16a) The organisation may be wound up if it has ceased activities, provided fourteen days notice of a resolution to wind up the organisation has been given to all members by mail or by e mail to their last known address, and the resolution to wind up has been adopted by more than 50% of the current membership at a special general meeting called for this purpose. Voting may be in person or by e-mail. 

 

16b) Any assets of the organisation at the time of the wind up shall be donated to another organisation with similar objectives.
